These Terms of Use (“Terms”) govern your access to and use of the website https://www.xionix.io/, provided by Xlab Limited, a company incorporated in British Virgin Islands, with company number 2166381, registered office address at Intershore Chambers, Road Town, Tortola, VG1110 British Virgin Islands, along with all associated tools, features, and services, including but not limited to the automated trading bots and related functionalities provided through our platform (collectively referred to as the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, do not access or use the Platform.

1. General Disclaimers

1.1. No Financial and Other Related Services

Xionix does not act as a financial advisor, broker, or investment manager. Our tools, software, and services are designed solely for informational and operational purposes. All decisions made while using our services are your sole responsibility and at your own risk.

Xionix does not provide financial, tax, or legal advice. Users are strongly encouraged to consult licensed financial professionals before making any investment decisions.

Xionix does not store, hold, or manage user funds. All trading activities occur directly on connected third-party cryptocurrency exchanges, and users retain full control and responsibility over their exchange accounts.

1.2. No Guarantees

The Platform, including its tools, services, and trading bots, is provided on an ‘as is’ and ‘as available’ basis. Xionix makes no representations or warranties of any kind, whether express or implied, regarding the Platform’s functionality, availability, or performance. We do not guarantee uninterrupted access, the accuracy or reliability of results, or that the Platform will be free from errors, defects, or delays.

Users acknowledge that any trading strategies, bots, or features are subject to inherent market risks, and past performance does not and cannot guarantee or predict future results. All use of the Platform is undertaken solely at the user’s discretion and risk.

Xionix does not guarantee profitability and shall not be held liable for any losses arising from market fluctuations, liquidity issues, or any other external economic factors.

1.3. Risk Acknowledgment

Trading in cryptocurrencies and digital assets carries a significant risk of financial loss. The value of such assets is highly volatile, and market fluctuations may result in the loss of all or a substantial portion of your investment. By utilising Xionix, you explicitly acknowledge and accept full responsibility for any losses incurred, understanding that all trading activities, including those conducted through automated strategies, involve inherent risks.

1.4. Third-Party Responsibility

Xionix integrates with third-party cryptocurrency exchanges (e.g., Bybit) through API connections to facilitate trading operations. While we strive to maintain seamless connectivity, we do not control or influence the performance, reliability, or availability of these third-party services. Consequently, we accept no responsibility for any interruptions, errors, delays, or failures caused by the exchanges themselves, API malfunctions, connectivity issues, or adverse market conditions.

Users acknowledge that such factors may result in incomplete transactions, financial losses, or other unintended outcomes, for which Xionix bears no liability. It remains the user’s responsibility to monitor their accounts and trading activities, understanding that reliance on third-party platforms carries inherent risks beyond Xionix’s control.

2.0. Account Registration and Security

2.1. Eligibility

To access and use the Platform, you must be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher. By using the Platform, you confirm that you meet this age requirement.

Furthermore, you must not reside in or access the Platform from any jurisdiction where the use of cryptocurrency trading tools, automated strategies, or related services is prohibited, restricted, or otherwise unlawful. It is your sole responsibility to ensure that your use of the Platform complies with all applicable local laws, regulations, and restrictions in your jurisdiction.

Xionix bears no responsibility for verifying the legality of your use of the Platform and shall not be held liable for any consequences arising from your failure to comply with such legal requirements.

2.2. Account Creation

To access the Platform, you are required to create an account and provide accurate, current, and complete information during the registration process. It is your sole responsibility to maintain the confidentiality and security of your login credentials, including your username, password, and any authentication details.

You must not share, disclose, or allow others to use your account. Any actions or activities conducted under your account, whether authorized or unauthorized, will be deemed to have been performed by you. Xionix accepts no liability for any loss or damage arising from unauthorized access to your account due to your failure to maintain its security.

2.3. API Integration

To use the Platform, users are required to connect their cryptocurrency exchange accounts via API keys. It is your responsibility to ensure that the API keys are correctly generated, configured, and securely stored. Proper permissions must be set to enable the intended functionality while minimising risks. Xionix does not access or store your API keys beyond what is necessary for Platform operation and will not be liable for any losses, errors, or unauthorised activities arising from misconfigured permissions, improper setup, or compromised API keys.

Users are solely responsible for ensuring that their API keys are correctly configured with appropriate permissions for trading. Xionix shall not be liable for any losses caused by misconfigured API keys, such as enabling unintended withdrawals or unauthorised trading.

Users are encouraged to regularly review and monitor their API configurations for security and accuracy.

2.4. Unauthorized Access

If you suspect any unauthorised access to your account, including suspicious activity, unrecognised transactions, or changes to your settings, you must immediately notify Xionix support. Prompt reporting allows us to investigate and take appropriate measures to secure your account. Failure to notify us in a timely manner may result in continued unauthorised activity, financial loss, or other adverse consequences, for which Xionix will not be held responsible.

3. Use of the Platform

3.1. Trading Bots

Xionix provides automated trading bots that execute cryptocurrency trades on your behalf based on the strategies, parameters, and configurations you define. These bots interact with cryptocurrency exchanges through API connections and operate strictly according to the instructions you input, without any intervention, discretion, or control from Xionix over the trading process.

You are solely responsible for setting, reviewing, and managing all bot configurations, including trade parameters, cryptocurrency pairs, risk management settings, and strategy adjustments. It is your responsibility to ensure that your configurations align with your trading goals, risk tolerance, and current market conditions. Xionix does not monitor, validate, or make recommendations regarding your selected cryptocurrency strategies or bot settings and will not interfere with the execution of trades initiated through your configured bots. By using the Platform, you accept full responsibility for all trading outcomes, including losses, missed opportunities, or unintended trades, and agree that Xionix bears no liability for any consequences arising from your use of its automated trading tools.

3.2. Fair Usage Policy

You must not use the Platform for any of the following purposes or activities:

- Violating any applicable laws or regulations. You are responsible for ensuring that your use of the Platform complies with all relevant local, national, and international laws, including those governing cryptocurrency trading and data security;
- Engaging in fraudulent, illegal, or unethical activities. This includes but is not limited to fraudulent trading practices, market manipulation, unauthorized access to accounts, or any activities that could harm other users, third parties, or the reputation of Xionix;
- Hacking, reverse engineering, or exploiting the Platform’s software. You are strictly prohibited from attempting to access, modify, decompile, disassemble, or reverse engineer any part of the Platform, its software, or its underlying systems. This also includes attempting to bypass security protocols, gain unauthorized access, or use the Platform in a manner it was not intended for;
- Interfering with or disrupting the Platform’s operations. You must not take actions that could harm or disable the Platform’s infrastructure, servers, or networks. This includes launching malicious software, spamming, overloading systems, or engaging in denial-of-service (DoS) attacks.

Any violations of the above restrictions will result in your account's immediate suspension or termination and may lead to legal action where applicable. Xionix reserves the right to investigate any suspected misuse and cooperate with relevant authorities as necessary.

3.3. Service Modifications

Xionix reserves the right, at its sole discretion, to modify, update, suspend, or discontinue any part of the Platform, including its features, tools, or services, at any time, with or without prior notice. Such changes may be implemented to improve functionality, address security concerns, comply with legal requirements, or for any other operational or technical reasons.

You acknowledge that Xionix is not obligated to maintain or continue specific features or services and shall not be held liable for any disruptions, losses, or inconveniences arising from such modifications, updates, or discontinuation. It is your responsibility to regularly review the Platform and its associated communications to stay informed about any changes.

4. Fees and Subscriptions

4.1. Subscription Plans

Access to features and services of the Platform may be subject to a paid subscription. Subscription plans, including pricing, available features, and durations, will be clearly displayed on the Platform. By purchasing a subscription, you agree to pay all applicable fees in accordance with the terms provided at the time of purchase.

Xionix reserves the right to modify subscription pricing, plans, or features at any time, with reasonable notice provided to existing subscribers. It is your responsibility to review the subscription details before making a purchase or renewal. Failure to maintain an active subscription may result in restricted or terminated access to premium features.

4.2. Payment Terms

All payments made for subscriptions or services on the Platform are final and non-refundable. By purchasing a subscription, you agree to these terms and acknowledge that refunds will not be issued for partially used subscription periods or unused features.

If your subscription is not renewed before its expiration date, your access will be terminated immediately. Xionix bears no responsibility for any disruptions, data loss, or consequences arising from the expiration or non-renewal of your subscription

4.3. Service Suspension

Xionix reserves the right to suspend or terminate your access to the Platform, with or without prior notice, in the event of unpaid fees, misuse of the Platform, or violations of these Terms. Suspension or termination may result in the loss of access to your account, including any data, configurations, or ongoing activities.

You acknowledge that it is your responsibility to ensure timely payment of all applicable fees and to comply with these Terms. Xionix shall not be held liable for any losses, disruptions, or consequences arising from such suspension or termination.

5. Limitation of Liability

5.1. No Warranties

Xionix makes no representations or guarantees that the Platform will operate uninterrupted, error-free, secure, or that any defects will be corrected. We do not warrant that the results obtained from using the Platform will meet your expectations, achieve specific outcomes, or be free from delays, inaccuracies, or failures. All use of the Platform is at your own risk, and you accept full responsibility for any reliance on its features or services.

5.2. Exclusion of Liability

To the maximum extent permitted by law, Xionix and its affiliates shall not be liable for any loss of funds, data, or profits arising from the use or inability to use the Platform; errors, delays, or interruptions caused by third-party cryptocurrency exchanges, API connections, or market volatility; or for any indirect, incidental, special, consequential, or punitive damages, even if Xionix has been advised of the possibility of such damages.

Users acknowledge that they use the Platform at their own risk and that Xionix assumes no responsibility for any adverse outcomes or losses.

5.3. User Responsibility

Xionix does not control, endorse, monitor, or influence any trades executed through the Platform, nor does it provide advice or recommendations regarding trading strategies, asset selection, or market conditions. You are fully accountable for the outcomes of your trading activities, including any profits, losses, or unintended consequences resulting from your use of the Platform and its tools.

7. Termination

7.1. By User

You may terminate your account at any time. Upon termination, your access to the Platform and its services will be discontinued, and any remaining data or configurations may be deleted in accordance with our data retention policies.

7.2. By Xionix

Xionix reserves the right to suspend or terminate your access to the Platform, with or without prior notice, if you violate these Terms, applicable laws, or engage in activities deemed harmful to the Platform, its users, or its reputation. Suspension or termination may result in the immediate deactivation of your account, loss of access to features, and deletion of your data, for which Xionix shall bear no liability.

8. Amendments

Xionix reserves the right to update or modify these Terms at any time. Any changes will take effect immediately upon being posted on the Platform. It is your responsibility to review the Terms regularly to stay informed of updates.

Your continued use of the Platform following the posting of any changes constitutes your acceptance of the updated Terms.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good faith negotiations between the parties.

If the parties are unable to reach an amicable resolution within a reasonable timeframe, the dispute shall be submitted to the competent courts of the British Virgin Islands.
